Terms of Use
These Terms of Use (“ Terms ”) govern your access to and use of the Dosentra software platform and related services (the “ Service ”). By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. The Service
Dosentra provides a software platform designed to support authentication, access control, inventory tracking, and audit logging related to medication handling and system usage in clinical and operational environments. The Service is intended for use by authorized personnel of customer organizations and is not intended for consumer or personal use.
2. Eligibility and Authorization
You may use the Service only if:
- You are authorized by your organization to access the Service.
- You use the Service in accordance with these Terms and applicable laws.
- You comply with your organization’s internal policies and procedures.
You are responsible for maintaining the confidentiality and security of your login credentials, badges, and authentication devices.
3. Acceptable Use
You agree not to:
- Use the Service for unlawful, fraudulent, or unauthorized purposes.
- Attempt to bypass, disable, or interfere with security or access controls.
- Introduce malware, automated scripts, or disruptive code.
- Misrepresent your identity or access privileges.
- Use the Service to store or transmit sensitive personal or medical data except as explicitly authorized by your organization.
Dosentra reserves the right to suspend or revoke access for violations of these Terms.
4. Data and System Use
Dosentra is designed to operate without storing protected health information (PHI) or patient medical records by default. The Service focuses on access control, inventory tracking, and auditability. Customers are responsible for determining what data is entered into the Service and for ensuring that their use complies with applicable privacy, data protection, and healthcare regulations.
5. Audit and Logging
Use of the Service may be logged for security, operational, and audit purposes. Logs may include access events, actions performed within the system, and system activity metadata. By using the Service, you acknowledge and consent to such logging.
6. RFID Badges and Access Credentials
Access to the Service may be provided through RFID badges or other physical or electronic authentication devices. You acknowledge and agree that:
- RFID badges and access credentials are issued for individual use only.
- Badges must not be shared, transferred, or used by unauthorized individuals.
- Lost, stolen, or compromised badges must be reported promptly in accordance with your organization’s procedures.
- You are responsible for safeguarding badges and credentials while in your possession.
Dosentra is not responsible for unauthorized access resulting from lost, stolen, shared, or improperly secured badges or credentials.
7. Security and Risk Acknowledgment
Dosentra implements reasonable administrative, technical, and organizational safeguards designed to protect the security and integrity of the Service and the information processed within it. However, no system can be guaranteed to be completely secure. By using the Service, you acknowledge that unauthorized access, security incidents, or data breaches may occur despite reasonable precautions.
To the fullest extent permitted by law, Dosentra shall not be liable for unauthorized access, alteration, or loss of data resulting from circumstances beyond its reasonable control, provided that Dosentra has implemented commercially reasonable security measures. Customers are responsible for implementing appropriate internal safeguards, access controls, and policies to protect credentials, badges, and authorized access to the Service.
8. Intellectual Property
All rights, title, and interest in the Service, including software, documentation, trademarks, and logos, are owned by Dosentra or its licensors. You are granted a limited, non-exclusive, non-transferable right to use the Service solely for authorized business purposes. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service except as permitted by law or expressly authorized in writing.
9. Availability and Modifications
Dosentra strives to maintain availability of the Service but does not guarantee uninterrupted or error-free operation. We may update, modify, suspend, or discontinue parts of the Service at any time, including for maintenance, security, or operational reasons.
10. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Dosentra disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Dosentra does not warrant that the Service will meet all regulatory or compliance requirements applicable to your organization.
11. Limitation of Liability
To the fullest extent permitted by law: (a) Dosentra shall not be liable for indirect, incidental, consequential, or special damages; and (b) Dosentra’s total liability arising out of or related to the Service shall not exceed the amount paid by the customer for the Service during the preceding twelve (12) months.
12. Indemnification
You agree to indemnify and hold harmless Dosentra from claims, damages, losses, and expenses arising from: (a) your misuse of the Service; (b) your violation of these Terms; or (c) your violation of applicable laws or regulations.
13. Termination
Dosentra may suspend or terminate access to the Service if these Terms are violated or if required by law. Termination does not relieve you of obligations accrued prior to termination.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the state or jurisdiction in which Dosentra is organized, without regard to conflict of law principles.
15. Changes to These Terms
Dosentra may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
